Welcome to Adgineer ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of adgineer.io, app.adgineer.io, and related services (collectively, the "Service").

By creating an account, subscribing, or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

1. Eligibility

2. Accounts and Registration

• • You are responsible for maintaining the confidentiality of your account credentials.
• • You are responsible for all activity that occurs under your account.

3. Subscriptions and Payments

• • Access to the Service may require a paid subscription.
• • Payments are processed securely by Stripe. We do not store card details.
• • Subscription fees are billed in advance on a recurring basis unless canceled.
• • You may cancel your subscription at any time through your account settings. Access continues until the end of the billing cycle.
• • Fees are non-refundable except where required by law.

4. License to Use the Service

• • We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
• • You retain ownership of the ad copy and campaign data you create using the Service.
• • We retain ownership of the Service, software, and intellectual property.

5. AI-Generated Content

• • The Service uses Anthropic's Claude AI to generate advertising content based on your inputs.
• • You are solely responsible for reviewing and ensuring that generated content complies with applicable advertising laws and platform policies (e.g., Google Ads policies).
• • We do not guarantee that AI-generated content will achieve specific results or be free of errors.

6. User Conduct

You agree not to:

• • Use the Service for unlawful, harmful, fraudulent, or misleading purposes.
• • Generate or distribute content that is spam, abusive, defamatory, or violates third-party rights.
• • Attempt to hack, reverse-engineer, or disrupt the Service.
• • Resell or sublicense the Service without our permission.

We reserve the right to suspend or terminate accounts that violate these rules.

7. Intellectual Property

• • All rights, titles, and interests in the Service, including trademarks, software, and design, remain with Adgineer.
• • Except as expressly provided, no license or rights are granted to you.

8. Disclaimers

• • The Service is provided "as is" and "as available."
• • We make no warranties regarding accuracy, reliability, or suitability for your intended purpose.
• • AI-generated outputs may contain errors or unsuitable content. You are responsible for verifying before use.

9. Limitation of Liability

To the maximum extent permitted by law:

• • We shall not be liable for indirect, incidental, or consequential damages arising from use of the Service.
• • Our total liability for any claim will not exceed the amount you paid to use the Service in the 3 months preceding the claim.

10. Termination

• • You may stop using the Service at any time by canceling your subscription.
• • We may suspend or terminate access if you breach these Terms, misuse the Service, or for other lawful reasons.

11. Governing Law and Jurisdiction

• • These Terms are governed by the laws of the State of Delaware, United States (common choice for SaaS startups).
• • Any disputes shall be resolved in the courts of Delaware, unless otherwise required by applicable law.

We may update these Terms from time to time. Updates will be effective when posted on this page. For material changes, we will provide notice by email or within the Service.
